Terms of Use

1. Acceptance of Terms

By accessing or using Clipps ("we," "our," or "the app"), including the web app, desktop app, Chrome extension, or Android app, you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use Clipps.

These terms constitute a legally binding agreement between you and Clipps. Continued use of the service after any updates to these terms constitutes acceptance of those updates.

2. Description of Service

Clipps is a content saving, organization, and AI analysis platform. The service allows you to:

• Save videos, photos, screenshots, text notes, voice memos, and URLs
• Organize saved content with collections, tags, and categories
• Analyze saved content using AI to generate summaries, tags, recipes, and other structured metadata
• Chat with your saved content through Brain Chat
• Export curated knowledge slices ("Brains")

Clipps is available as a web app, desktop app (macOS/Windows), Chrome browser extension, and Android app.

3. Account Registration

To use Clipps, you must create an account. By registering, you agree that:

• You are at least 13 years old. If you are under 13, you may not use Clipps. See our Privacy Policy for details on children's privacy.
• You will maintain only one account per person. Creating multiple accounts to circumvent limits or bans is prohibited.
• You are responsible for your account security, including safeguarding your login credentials and any API keys stored in your account.
• You will provide accurate information during registration and keep it current.
• You are responsible for all activity that occurs under your account.

4. Acceptable Use Policy

You agree not to use Clipps to:

5. Intellectual Property

Your Content

You retain full ownership of any content you save to Clipps. By using the service, you grant us a limited license to store, process, and display your content solely for the purpose of providing and improving the service.

Our Service

Clipps retains all rights, title, and interest in the service, including but not limited to:

• The app's user interface, design, and branding
• Our proprietary technology, algorithms, and code
• AI generated metadata, summaries, tags, categories, and structured data produced by the service

AI Generated Content

AI generated analysis (summaries, tags, recipes, categorizations, Brain Chat responses) is provided as is without any guarantee of accuracy, completeness, or fitness for a particular purpose. You may use AI generated outputs for personal purposes, subject to the restrictions in Section 7.

6. AI Processing Disclosure

Clipps uses artificial intelligence to analyze and organize your saved content. By using the service, you acknowledge and agree that:

Third Party AI Services

Your content may be processed by the following third party AI providers:

Data sent to these providers is processed according to their respective API terms. API data is not used to train their models under standard API terms.

Bring Your Own Key (BYO Key)

You may provide your own API keys for supported AI providers. When using your own keys:

• Your API usage is governed by the respective provider's terms of service
• Clipps encrypts stored keys with AES-256-GCM
• You are responsible for any costs incurred through your own keys

Accuracy

AI outputs may contain errors, inaccuracies, or omissions. You should not rely on AI generated content as the sole basis for important decisions. Clipps does not guarantee the accuracy of any AI generated output.

7. API Usage Terms

If you access Clipps through our API, the following terms apply:

• Rate limits — all API usage is subject to rate limits. Current limits are published in our API documentation and may change at any time.
• No resale of AI outputs — you may not resell, sublicense, or commercially redistribute AI generated outputs obtained through platform provided API keys (i.e., credits purchased from Clipps).
• BYO key usage — if you use your own API keys, your usage of AI outputs is governed by the respective AI provider's terms. Clipps does not impose additional restrictions on outputs generated through your own keys.
• Fair use — API access is intended for personal and reasonable commercial use. We reserve the right to throttle or suspend access that we determine to be abusive or excessive.

8. Payment and Credits

Subscriptions and Credits

• Clipps offers subscriptions and credit packages for AI processing and premium features.
• All payments are processed securely through Stripe. We do not store your payment card information.
• Subscription billing occurs on a recurring basis (monthly or annually) until cancelled.
• Credits are nonrefundable once used.

Refund Policy

• If you are unsatisfied with a purchase, contact us at legal@clippsapp.com within 7 days of the charge.
• Refund requests are reviewed on a case by case basis. We aim to resolve all requests fairly.

Pricing Changes

• We may change subscription pricing or credit costs at any time.
• We will provide 30 days notice before any price increase takes effect for existing subscribers.
• If you do not agree with a price change, you may cancel your subscription before the new pricing applies.

9. Account Termination

Termination by Clipps

We may suspend or terminate your account, without prior notice, if:

• You violate these Terms of Use or our Acceptable Use Policy
• Your use of the service poses a security risk or legal liability
• We are required to do so by law
• Your account has been inactive for an extended period (we will attempt to notify you first)

Termination by You

• You may delete your account at any time from within the app or by contacting us at legal@clippsapp.com.
• Account deletion is permanent.

Effect of Termination

• Upon termination, your data is deleted in accordance with our Privacy Policy. All associated content, metadata, and account data are removed within 30 days.
• Any unused credits or remaining subscription time are forfeited upon termination for cause (violation of terms). If you terminate voluntarily, you may contact us for a prorated refund on unused subscription time.

10. Limitation of Liability

As Is Service

Clipps is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and noninfringement.

No Warranty on AI Outputs

We do not warrant the accuracy, reliability, or completeness of any AI generated content. AI generated summaries, tags, recipes, and other outputs are for informational purposes only.

Data Loss

While we take reasonable measures to protect your data (including standard cloud backups), we are not liable for data loss beyond those reasonable backup measures. You are encouraged to maintain your own backups of important content.

Liability Cap

To the maximum extent permitted by law, Clipps's total liability to you for any claims arising out of or related to these terms or your use of the service is limited to the total amount you paid to Clipps in the 12 months preceding the claim, or $100, whichever is greater.

Exclusion of Damages

In no event shall Clipps be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, regardless of the cause of action or theory of liability.

11. Indemnification

You agree to indemnify, defend, and hold harmless Clipps, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the service
• Content you save, upload, or distribute through Clipps
• Your violation of these Terms of Use
• Your violation of any third party rights

This indemnification obligation survives termination of your account and these terms.

12. Dispute Resolution

Informal Resolution

Before filing any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at legal@clippsapp.com. We will work with you in good faith to resolve the dispute within 30 days of receiving your written notice.

Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

• Arbitration will be conducted in English.
• The arbitrator's decision is final and binding.
• Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class wide arbitration against Clipps.

Small Claims Court Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdictional limits.

13. Changes to Terms

We may update these Terms of Use from time to time. When we make changes:

• We will provide 30 days notice for material changes, via email or an in app notification.
• The "Last Updated" date at the top of this document will reflect the most recent revision.
• Continued use of Clipps after the notice period constitutes acceptance of the updated terms.
• If you do not agree with the updated terms, you may stop using the service and delete your account.

14. General Provisions

• Severability — if any provision of these terms is found to be unenforceable, the remaining provisions continue in full force and effect.
• Entire Agreement — these terms, together with our Privacy Policy, constitute the entire agreement between you and Clipps regarding your use of the service.
• Waiver — our failure to enforce any provision of these terms does not constitute a waiver of that provision.
• Assignment — you may not assign or transfer your rights under these terms. We may assign our rights without restriction.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.

16. DMCA and Copyright

If you believe content on Clipps infringes your copyright, send a DMCA takedown notice to legal@clippsapp.com with: (a) identification of the copyrighted work, (b) identification of the infringing material with enough detail to locate it, (c) your contact information, (d) a statement of good faith belief, (e) a statement under penalty of perjury that the information is accurate, and (f) your physical or electronic signature.

17. Export Controls

You agree to comply with all applicable export and re-export control laws and regulations, including US Export Administration Regulations. You may not use Clipps in any country subject to US sanctions.

18. Service Availability

Clipps is provided on an "as available" basis. We do not guarantee uninterrupted or error free service. We may modify, suspend, or discontinue any part of the service at any time with reasonable notice when practicable. Scheduled maintenance will be announced in advance when possible.
